Terms and Conditions
Effective Date: May 2, 2025
1. Definitions
For the purposes of these Terms and Conditions:
- “AESL,” “Company,” “We,” “Us,” or “Our” refers to A-ONE Electric & Solar Ltd., the operator of this e-commerce platform.
- “Customer,” “You,” or “Your” refers to any person or entity accessing, using, or purchasing from our platform.
- “Platform” means the AESL website, mobile application, and any associated services.
- “Products” means any goods or items listed for sale on the Platform.
- “Order” means a request made by a Customer to purchase Products through the Platform.
- “Carrier” means AESL’s appointed logistics provider(s), including but not limited to GIG Logistics (GIGL), engaged to transport and deliver Products.
- “Shipment” means any package, parcel, or consignment tendered for delivery through the Carrier under a valid waybill.
- “Waybill” means the shipping document generated by the Carrier evidencing the contract of carriage.
- “Delivery” means the transfer of possession of Products to the Customer or their authorized representative at the address provided.
- “Business Day” means any day excluding Saturdays, Sundays, and public holidays in Nigeria.
- “Force Majeure” means any event beyond reasonable control, including but not limited to acts of God, war, strikes, riots, epidemics, natural disasters, government actions, or transportation disruptions.
2. Acceptance of Terms
By accessing or using this website ("Site") owned and operated by AESL, you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree, you must refrain from using our Site and services.
Use of AESL’s delivery services through our logistics partners (including GIGL) constitutes acceptance of both these AESL Terms and the Carrier’s delivery terms as incorporated herein.
3. Modification of Terms
AESL reserves the right to revise these Terms at any time without prior notice. The revised version will be effective once posted. Continued use of the Site indicates your acceptance of the revised Terms.
4. Scope of Services
AESL offers products and services related to the supply, design, installation, and maintenance of renewable energy and electrical systems. All offerings are subject to availability and AESL reserves the right to refuse service or limit access to anyone at our discretion.
5. Intellectual Property Rights
All content on the Site including, but not limited to, logos, text, graphics, images, icons, and software, is the exclusive property of AESL or its content suppliers and protected by Nigerian and international copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or modify any content without prior written permission.
6. User Conduct
- You agree not to engage in any activity that disrupts or interferes with the Site’s functionality or security.
- You shall not attempt to gain unauthorized access to any part of the Site, user accounts, or computer systems.
- You shall not transmit any malware, spyware, viruses, or harmful code.
- You agree to provide accurate and up-to-date information when interacting with AESL via the Site.
7. Payment and Transactions
- All payments for products and shipping must be made to AESL in Nigerian Naira (NGN) or as otherwise agreed.
- Prices are subject to change without notice.
- AESL collects the full payment (covering product cost and shipping) and will settle the Carrier directly.
- AESL reserves the right to refuse any order you place and may limit quantities at our sole discretion.
8. Shipping, Delivery & Risk of Loss
- AESL engages third-party logistics providers, including GIGL, to manage deliveries. By purchasing from AESL, you agree to the Carrier’s delivery terms.
- Shipments may be transported by air, road, sea, or any means chosen by the Carrier. Routes are at the Carrier’s discretion.
- Deliveries will be made to the address provided by the Customer but not necessarily to the named person. In the case of a central receiving area, delivery to that area constitutes delivery to you.
- If delivery is impossible, the receiver cannot be reasonably identified, or the Shipment is deemed unacceptable, the Shipment may be returned at your cost or disposed of by the Carrier without liability.
- Risk of loss or damage passes to you once the Shipment is handed over to the Carrier. AESL is not liable for loss, delay, or damage once in transit.
- It shall be deemed that the Carrier has discharged its obligations once the goods are delivered to the address stated on the waybill or any other address requested.
9. Conditions of Goods & Inspection
- You are responsible for providing complete and accurate information, descriptions, values, and conditions of goods. The onus of proving quantity, type, physical properties, composition, and condition at receipt remains with you.
- No delivery note, receipt, or document furnished or signed by or on behalf of the Carrier constitutes conclusive proof of the goods’ condition at receipt.
- The Carrier has the right to open and inspect goods without prior notice.
- The receiver must inspect goods at the point of collection or delivery and acknowledge condition before departure; otherwise, AESL and the Carrier will not be liable for subsequent complaints.
10. Liability for Shipments
- Carrier liability for any Shipment is limited to the declared value of the item as shown on the waybill/invoice.
- The Carrier is liable only for direct loss and damage limited to the declared value. All other types of loss are excluded, including but not limited to lost profits, income, interest, and future business, even if such risks were communicated.
- If you regard these limits as insufficient, you must make a special declaration of value and obtain shipment insurance at your expense (subject to Carrier investigation and approval).
- Claims are limited to one claim per Shipment; settlement will be full and final for all loss or damage in connection therewith.
11. Shipper Warranties & Indemnity
You warrant and represent that:
- All information, descriptions, values, and other particulars furnished to the Carrier are complete and accurate.
- The goods are your sole property or you are authorized by the owner to enter into this agreement.
- The Shipment is properly marked, addressed, and packed to ensure safe transportation with ordinary care in handling.
- All applicable customs, import, export, and other laws and regulations have been complied with.
- Payment of shipment fees by your authorized representative constitutes binding and enforceable obligations on you.
You agree to indemnify and hold harmless AESL and the Carrier for any loss or damage arising out of your failure to comply with applicable laws or breach of the above warranties.
12. Claims & Legal Timeframes
- All claims must be submitted in writing within 24 hours from the time the Shipment is picked up from the destination centre or delivered to the receiver’s address. It is the receiver’s responsibility to inspect the package at the destination centre prior to departure and report issues immediately.
- Legal notices must be served within:
- 20 weeks from the date of delivery for damage claims; and
- 24 weeks from when the Shipment was declared missing for loss/missing claims.
- Failure to serve legal notice within these timeframes shall result in forfeiture of any right to legal claim; the Carrier shall bear no further liability.
- Claims may be submitted to AESL via the contact details displayed on the Site and/or to the Carrier at claims@giglogistics.com.
13. Charges, Billing & Lien
- Shipping consideration is in accordance with the Carrier’s standard tariffs (available on request) and payable as determined by the Carrier from time to time.
- Shipments not claimed within 3 working days of arrival attract daily storage/demurrage charges of ₦500 for Shipments above 10kg and ₦200 for Shipments below 10kg.
- As security for money owed for handling goods, the Carrier has a lien over all goods in its possession or under its control.
- Shipments not picked up within 1 month shall be forfeited to the Carrier and may be disposed of accordingly.
14. Dangerous Goods
- You warrant that goods are fit to be handled in the ordinary way and are not dangerous goods.
- The Carrier will not handle any dangerous, corrosive, noxious, hazardous, inflammable, or explosive goods, or any goods likely to cause damage in its opinion.
- You shall be liable for all losses or damage caused to the Carrier and third parties by dangerous goods.
- If any goods become a danger to any person or property in the Carrier’s opinion, the Carrier may, without notice, take steps it deems appropriate (including disposal). The Carrier shall not be liable for the value of the goods or any other loss arising from such steps and may still recover handling remuneration and costs from you.
15. Customs Duties & Documentation
- International orders may be subject to customs duties, taxes, and import restrictions determined by the destination country.
- AESL and the Carrier have no control over these charges and are not responsible for delays arising from customs border control.
- You (as shipper/receiver) are responsible for providing all documentation needed for customs clearance. If you fail to provide required documentation, you will be charged for the return of the Shipment to origin.
16. Technical Devices (Testing & Software/Hardware Disclaimer)
- To ensure effective evaluation and safe handling of technical devices, you may be required to grant permission for testing and inspection.
- Failure to consent to testing relieves the Carrier (and AESL) of responsibility for potential damages incurred during transportation or assessment.
- While reasonable care is taken, the Carrier explicitly disclaims liability for any software and hardware damage that may occur during testing. Customers must back up data and ensure compatibility with testing procedures.
- Refusal to permit testing and inspection absolves the Carrier from any claims related to both hardware and software damage. The Carrier shall not be liable for software-related issues at any point during the duration of the contract.
17. Subcontracting
The Carrier may employ subcontractors to act for it and shall have no responsibility or liability to you for the acts or omissions of such third parties.
18. Notices
Notices relating to a Shipment shall be served on the address stipulated on the waybill. General notices to AESL may be sent via the contact details provided on the Site.
19. Dispute Resolution (Shipments)
Shipment-related disputes shall first be resolved amicably. If unresolved, parties shall jointly appoint a sole arbitrator to arbitrate the matter; thereafter, the dispute shall be referred to the Lagos Multi-Door Courthouse (LMDC) for Mediation, conducted in accordance with the LMDC Mediation Procedure Rules.
20. Site Disclaimers
This Site and its content are provided “as is” without warranty of any kind, either express or implied. While we strive for accuracy, AESL does not guarantee the completeness, reliability, or timeliness of the information and is not liable for any errors or omissions.
21. Limitation of Liability (Site & Services)
To the maximum extent permitted by law, AESL shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of or inability to use the Site, services, or products.
22. Third-Party Links
Our Site may contain links to external websites for your convenience. AESL does not endorse, guarantee, or assume responsibility for the content, privacy practices, or accuracy of any third-party site.
23. Indemnification
You agree to indemnify, defend, and hold harmless AESL, its directors, employees, agents, affiliates, partners, and logistics providers from any claims, damages, obligations, losses, liabilities, or expenses arising from your violation of these Terms or your use of the Site or shipment services.
24. Subcontracting & Route
When carrying goods, the Carrier shall, in its sole discretion, decide what route to follow. The Carrier’s selection of route or mode shall not constitute negligence or a deviation.
25. Priority of Terms
If there is any conflict between these AESL Terms and any Carrier terms referenced herein, these AESL Terms shall prevail as between AESL and the Customer, provided that the Carrier’s liability limits and operational conditions applicable to the Shipment remain in full force.
26. General Terms (Non-Waiver; Entire Agreement)
These Terms constitute the sole record of the agreement between you and AESL regarding the use of the Site and related services. No relaxation or indulgence which AESL or the Carrier may grant shall constitute a waiver of rights. No variation of these Terms shall be effective unless posted by AESL on the Site or agreed in writing by AESL.
27. Termination
AESL may suspend or terminate your access to the Site at any time, with or without cause or notice, including if we believe you have violated these Terms.
28. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts, except for Shipment disputes which follow the LMDC mediation process as stated above.
